V1. Purpose and status
These terms govern the provision of the chkey.ch Platform to the Seller. The Seller acts independently; it is neither an employee nor an agent of CHKey.ch. No company or partnership is created.
V2. Registration and verification
The Seller provides accurate information: identity or company name, address, UID/commercial register no. (if applicable), and payment details for payouts. CHKey.ch may require proof of identity and of the right to resell, and may refuse or suspend a registration.
V3. Seller warranties
The Seller warrants that: (a) it has the right to resell each product and that it is of lawful origin; (b) it did not acquire the product through fraudulent payment, programme abuse or licence breach; (c) the description is accurate (licence type: retail/OEM/volume/educational, region, duration); (d) it complies with the law (consumer, fair competition, copyright and trademark, VAT, accounting).
V4. Orders, delivery and after-sales service
The Seller delivers within the stated time (at the latest 24 h), answers complaints within 48 h, provides replacement or refund for non-conforming products and bears the related costs.
V5. Prices, commission, payouts
The Seller sets its prices in CHF. CHKey.ch charges a commission according to the rate schedule communicated to the Seller on registration and in force at the time of sale (plus payment fees where applicable). CHKey.ch may change the rate schedule and payout times with 30 days’ notice; the Seller may then terminate (V9). Payouts are made within the period agreed with the Seller after confirmed delivery, less commission, refunds and chargebacks. CHKey.ch may withhold or offset amounts in the event of a dispute, fraud or chargeback.
V6. Removal of offers and suspension
CHKey.ch may remove any offer, suspend the account or terminate with immediate effect in the event of a breach, repeated complaints, a report from a rights holder or authority, or risk to the Platform.
V7. Liability and indemnity towards CHKey.ch
The Seller is solely responsible for its offers and indemnifies CHKey.ch against any third-party claim (publishers, trademark owners, authorities, Buyers) relating to its offers or conduct, including reasonable defence costs.
V8. Data
Each party processes Buyer data in accordance with the FADP, solely to perform the order and after-sales service. The Seller does not use it for any other purpose or for marketing without a legal basis.
V9. Term and termination
Indefinite term; either party may terminate on 30 days’ notice, with immediate effect for good cause. Warranty and after-sales obligations remain for completed sales.
V10. Governing law and jurisdiction
Swiss law; place of jurisdiction Lausanne.
